Consumer Terms
Summary
These Terms govern your access to and use of Jolo's consumer services, including ordering prepared meals, subscribing to meal‑prep plans, and arranging delivery or pickup via our website, apps, and related services (collectively, the Services). By creating an account, placing an order, or otherwise using the Services, you agree to these Terms.
1) Eligibility & Accounts
- You must be at least 18 and capable of forming a binding contract.
- Create an account with accurate information; keep credentials secure.
- We may verify identity (e.g., phone, email, payment authorization) and deny or close accounts for policy or safety reasons.
2) Service Scope
Jolo enables ordering of prepared meals (On‑Demand) and recurring Meal Prep Subscriptions delivered on a set cadence (typically one weekly delivery). Service availability, delivery areas, and menus vary by location and change regularly.
Some Services may be provided in whole or in part by restaurants, ghost kitchens, catering partners, couriers, or third‑party logistics (3PL). Partner‑specific terms may apply when you interact with them.
Merchant and courier/driver relationships are governed by separate agreements (not these consumer Terms).
3) Orders & Subscriptions
3.1 One‑time Orders (On‑Demand)
When available, On‑Demand orders show estimated prep and delivery times. Estimates are not guarantees. We may decline or cancel orders (e.g., out of stock, address outside zone, fraud checks), with a refund for amounts charged if applicable.
3.2 Meal Prep Subscriptions
- Plan Builder. You select the number of people, meals per day (Lunch, Dinner, or Both), and days per week; the system calculates meals/week and pricing.
- Auto‑Renew & Recurring Billing. Subscriptions auto‑renew each cycle until paused or canceled. You authorize recurring charges to your payment method.
- Cutoff & Lock Windows. We publish order cutoffs (e.g., Wednesdays 11:59 PM local time) for the upcoming week's delivery. After the cutoff, edits apply to a future cycle.
- Skips, Pauses, & Changes. You can skip individual weeks or pause/cancel going forward in Account → Subscriptions, subject to published cutoffs.
- Swaps & Allergen Rules. You may customize or swap items within the weekly menu where available. We may block selections that conflict with declared allergens.
3.3 Business & Campus Accounts
If you participate via an employer, school, or organization plan, additional terms may apply. Your organization is responsible for eligibility and benefit rules.
4) Pricing, Fees, Taxes & Tips
- Item Prices. Menu prices, service fees, small‑order charges, packaging fees, and delivery fees vary by market, time, and demand.
- Subscription Discounts. Per‑meal pricing may decrease with higher weekly meal counts. The lowest per‑meal price applies only at the maximum plan size unless otherwise stated.
- Taxes. Applicable sales or other taxes are added at checkout based on delivery/pickup location and item taxability.
- Tips. You may tip couriers; tips are optional but encouraged where couriers are used.
- Promotions. Promo codes, credits, and loyalty rewards have stated expirations and conditions; they are non‑transferable and not redeemable for cash.
5) Payments & Billing
We use third‑party processors (e.g., Stripe, Apple Pay, Google Pay). By paying, you agree to their terms and authorize us to charge your stored methods for current and future subscription cycles, adjustments, redeliveries, and validated add‑ons.
- Dunning. If a charge fails, we may retry, notify you, and suspend deliveries until resolved.
- Receipts. Digital receipts are available in your account and via email.
6) Delivery, Pickup & Title
- Delivery Windows. We provide estimated windows; actual times may vary due to traffic, weather, or operational constraints.
- Proof of Delivery. Couriers may capture GPS and/or a photo at delivery. Delivery is complete when the order is left at the specified location or handed to a recipient.
- Risk of Loss. Title and risk of loss for perishable items pass upon delivery. Prompt refrigeration is your responsibility.
- Pickup. If you choose pickup, verify operating hours and ID requirements.
7) Food Safety & Allergens
We label ingredients and top allergens where provided by partners, but cross‑contact may occur in shared kitchens.
Reheating and storage instructions are guidelines only; appliances vary.
8) Substitutions, Missing or Damaged Items
We may substitute comparable items when products are unavailable. If an item is missing, incorrect, or damaged, contact Support within 48 hours with order details and photos. Remedies may include a credit, partial refund, or redelivery at our discretion.
9) Returns, Refunds & Cancellations (Perishables)
Due to the perishable nature of food, returns are not accepted.
For late deliveries, quality issues, or service errors, we may offer make‑goods (credits, partial refunds). Subscription cancellations are prospective and do not automatically refund already locked or shipped boxes.
10) Promotions, Loyalty & "Jolo Prime"
Memberships and loyalty programs (e.g., free delivery) auto‑renew unless canceled. Benefits and fees may change with notice. We may revoke benefits for abuse or fraud.
11) Communications & SMS Consent
By providing a phone number, you agree to receive transactional texts (order updates, delivery status). Marketing texts require express consent; consent is not a condition of purchase. Message/data rates may apply. Reply STOP to opt out; HELP for help.
12) Acceptable Use
You agree not to:
- Access or use the Services for unlawful purposes; harass, stalk, or harm others; interfere with operations; reverse engineer; bypass security; or scrape without permission.
- Post content that is illegal, deceptive, defamatory, obscene, or infringing.
13) User Content & License
By posting reviews, photos, or feedback, you grant Jolo a worldwide, royalty‑free license to use, reproduce, and display such content in connection with the Services and our marketing, subject to applicable laws. You represent you have necessary rights to your content.
14) Third‑Party Services
Our Services integrate third parties (payments, mapping, logistics, analytics, reCAPTCHA). Their terms and privacy practices govern your use of those features.
15) Intellectual Property; DMCA
Jolo and partner trademarks, logos, and content are protected. If you believe content infringes your copyright, send a DMCA notice to legal@eatjolo.com with: (a) your contact info; (b) identification of the work and material claimed infringing; (c) a statement of good‑faith belief; (d) a statement under penalty of perjury; and (e) your physical or electronic signature.
16) Disclaimers
THE SERVICES, MENUS, AND CONTENT ARE PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. ESTIMATES (ETA/ETD), AVAILABILITY, AND NUTRITION/MACROS ARE PROVIDED FOR CONVENIENCE AND MAY VARY.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOLO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM OR (B) $100.
18) Indemnification
You will indemnify and hold Jolo and its affiliates harmless from claims arising out of your misuse of the Services, violation of these Terms, or infringement of third‑party rights.
19) Dispute Resolution; Class‑Action Waiver
- Arbitration Agreement. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA). You and Jolo waive any right to a jury trial.
- Class/Representative Actions Waiver. Disputes must be brought individually and not as a class or representative action. The arbitrator may not consolidate claims.
- Opt‑Out. You may opt out of arbitration within 30 days of creating your account by emailing legal@eatjolo.com with your name, the email tied to your account, and a clear statement opting out.
- Small Claims. Either party may bring an individual action in small‑claims court in the county of your residence or Los Angeles County, CA.
- Governing Law & Venue. California law governs, without regard to conflict‑of‑laws. For claims that are not arbitrated, exclusive jurisdiction and venue lie in state and federal courts in Los Angeles County, CA.
20) Changes to the Services or Terms
We may modify the Services or these Terms at any time. Material changes will be posted with an updated date. Continued use after changes constitutes acceptance.
21) Miscellaneous
- Severability. If a provision is unenforceable, the remainder remains in effect.
- Assignment. You may not assign your rights without our consent; we may assign to affiliates or in connection with a merger, acquisition, or asset sale.
- Entire Agreement. These Terms, plus any applicable policies (Privacy Policy) and product‑specific terms, are the entire agreement between you and Jolo for consumer Services.
